  4. under the laws of the State of Washington and subject to the exclusive 
  5. jurisdiction of the courts therein.

  7. ENTIRE AGREEMENT.  You agree that this Agreement expresses the entire 
  8. understanding between you and Perez Computing Services, and supersedes all 
  9. communications, oral or written, relating to the Software. 
  10.  
  11. This is a legal agreement between you, the end user, and Perez Computing 
  12. Services ("PCS").  By installing the accompanying  software you are agreeing to 
  13. be bound by the terms of this Agreement.  If you do not agree to the terms of 
  14. this Agreement, you may not install the accompanying software. 
  15.  
  16. GRANT OF LICENSE.  Perez Computing Services grants you (i) a non-exclusive, 
  17. nontransferable license to use the Perez Computing Services Ctrl-Alt-Del 
  18. Commander Demonstration for OS/2 Warp software program (the "Software") for a 
  19. maximum number of 30 days and (ii) a non-exclusive, nontransferable license to 
  20. use one copy of the related written materials, if any, enclosed 
  21. ("Documentation").  You may use the Software on more than one computer, and you 
  22. may access the Software from a hard disk, over a network, or by any other 
  23. method you choose, so long as the Software is used solely by one person and you 
  24. otherwise comply with this Agreement. 
  25.  
  26. COPYRIGHT.  The Software and Documentation are owned by Perez Computing 
  27. Services and are protected by US and international copyright laws.  You agree 
  28. not to remove any Perez Computing Services trademarks or copyright notices from 
  29. the Software or Documentation. You may not copy the Software or Documentation, 
  30. except that you may make one copy of the Software solely for the backup or 
  31. archival purposes.  You may not copy the Documentation or any other written 
  32. materials accompanying the Software without express written permission of Perez 
  33. Computing Services.

  35. OTHER RESTRICTIONS.  You may not disclose, publish, translate, rent, lease, 
  36. transfer, export or otherwise make available the Software and Documentation in 
  37. any form, to any person or entity, except as expressly licensed herein.  You 
  38. may not reverse engineer, decompile or disassemble the Software. 
  39.  
  40. RUNTIME RIGHTS AND LIMITATIONS.  You may not distribute any files provided as 
  41. part of the original Software package. 
  42.  
  43. LIMITED WARRANTY.  Perez Computing Services warrants the enclosed diskettes and 
  44. related Documentation to be free from defects in materials and workmanship when 
  45. acquired directly from Perez Computing Services, but not accuracy of 
  46. documentation nor fitness for any particular task, for a period of sixty (60) 
  47. days from the date of purchase.  Perez Computing Services will replace any such 
  48. defective diskette or documentation returned to Perez Computing Services during 
  49. such warranty period.  Replacement is the exclusive remedy for any such 
  50. defects, and Perez Computing Services shall have no liability for any other 
  51. damages.

  53. IN NO EVENT SHALL PEREZ COMPUTING SERVICES BE LIABLE FOR ANY LOSS OF PROFIT OR 
  54. ANY OTHER DAMAGE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, 
  55. CONSEQUENTIAL, OR OTHER DAMAGES.  THE SOFTWARE IS PROVIDED "AS IS" WITHOUT 
  56. WARRANTY OF ANY KIND.  PEREZ COMPUTING SERVICES SPECIFICALLY DISCLAIMS ALL 
  57. OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED 
  58. WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE.  PEREZ COMPUTING 
  59. SERVICES DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT 
  60. THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

  62. GOVERNING LAW.  This Agreement shall be governed and construed
